Legal Counsel (Junior / Middle)

Tranio Capital is an international investment company specializing in residential and commercial real estate across Europe and the Middle East.
For over eight years, we have been investing both own and third-party capital into early-stage development projects.
To date, we have invested more than €300 million across 30+ projects, including residential complexes, commercial properties, mixed-use developments, and emerging formats such as Senior Living / Active Adults.

We are now looking for a junior to middle Legal Counsel to work on various multijurisdictional tasks under the supervision of the Head of Legal.

Key Responsibilities

• Drafting and reviewing contracts (loan agreements, assignments, NDAs, sale and purchase agreements, lease agreements, etc.), various corporate documents (Memoranda & AoA, corporate approvals, PoAs etc.), non-binding documents (TS, MoU, LoI etc)

• Reviewing and identifying risks in corporate and title documents provided by counterparties (mini-DD)

• Doing research and preparing internal memoranda on various legal matters across multiple jurisdictions (Europe, Middle East, Russia) to the extent possible - without engaging external counsel

• Legal support of intragroup restructuring (ownership changes, corporate reorganizations and dissolutions, interaction with registrars, administrators and external consultants)

• Compliance and regulatory matters (AML, sanctions, personal data protection, regulatory restrictions for Russian investors)

Requirements

• 3-5 years PQE with a law firm, an investment fund or a family office

• Fluent command of written and spoken English, brilliant legal writing skills

• Strong academic background and good command of common law concepts (contract law, company law)

• Attention to detail, diligence, high personal responsibility and ability to learn new things quickly

• LLB or LLM in English law would be a plus
