Role Mission:

You will lead the company's legal function, providing comprehensive legal support for our investment activities and strategic initiatives. Your key mission is not only to mitigate legal risks but also to act as a strategic partner to top management, identifying growth opportunities and ensuring impeccable compliance with regulatory requirements in all our jurisdictions of operation.

Key Responsibilities:

• Strategic Legal Leadership: Providing end-to-end legal support for investment transactions (M&A, PE/VC deals, fund structuring).
• Legal & Compliance Risk Management: Developing and implementing policies and procedures to manage legal, regulatory, and compliance risks across the EMEA and GCC regions.
• Transaction Leadership: Leading due diligence processes, negotiating, and preparing/complex legal documentation (investment agreements, shareholder agreements, SPAs).
• Corporate Governance: Providing legal support for the corporate structure of the group of companies, including interaction with boards of directors.
• Compliance & Regulatory Affairs: Ensuring the company's compliance with regulatory requirements (DIFC, ADGM, MOHRE, ESCA) and monitoring changes in legislation.
• Management of External Counsel: Efficiently selecting and managing the work of top-tier international and local law firms to achieve optimal outcomes.
• Team Development: Leading and mentoring the in-house legal team.

Qualifications & Experience:

• A degree in Law (an LL.M. or similar will be a strong advantage).
• Qualification to practice law in a Common Law jurisdiction (e.g., UK, US, Australia) or equivalent proven experience.
• 10+ years of relevant legal experience, with at least 5 years in a leadership role within an international investment company, fund (PE, VC), investment banking division, or a top-tier international law firm.
• Expert Knowledge of corporate law, fund law, contract law, and securities regulations in Common Law jurisdictions.
• Essential Requirement: Deep understanding of the DIFC/ADGM regulatory framework and general UAE legislation.
• Proven track record in managing complex cross-border transactions (M&A, investment rounds, exits).
• Excellent negotiation skills, strategic thinking, and the ability to make decisions under uncertainty.
• Fluent English (native or proficiency level). Knowledge of Arabic, Russian, or other languages is a significant advantage.
