Senior lawyer (Corporate/M&A)

Company background:

• Company is a private investment fund specializing in investments in different industries,

including natural resources, venture capital, and real estate sectors

• Investment fund represents interests of private investors and supports them in

search and analysis of potentially attractive investment opportunities

Operating environment:

• Reporting to Head of Legal

• Close collaboration with investment and financial departments

Principal duties include:

• Legal support of M&A project, advise on structure of transactions, drafting of termsheets,

SPAs, SHAs and other agreements under English and Russian law

• Supervising and implementing of corporate restructurings and various corporate

procedures (issue or conversion of shares, changes to share capital, shareholders

and board of directors meetings etc.) in respect to Russian and foreign companies

• Reviewing and drafting of minutes of the general meetings of shareholders, board

of directors resolutions, memorandums and articles of association, corporate resolutions

other corporate documents under English and Russian law

• Elaboration of legal opinions on corporate/commercial/tax law matters, legal research

• Liaison with external legal counsels and service-providers in foreign jurisdictions

Requirements:

• Law degree from a reputable state university (MGU, MGUA, MGIMO etc)

• Experience in an international law firm/investment

fund/international corporation

• Understanding of principals and main concepts of English law

• Fluent English, including legal terminology

• Strong communication skills (written and verbal)

• Ability to deal with multiple tasks
